Meteorite

The Meteorite House

Featured in over 50 international design and architecture publications and exhibitions in 2020-2022, the Meteorite house introduced radically new forms to wood architecture using digital manufacturing. The house, designed by Ateljé Sotamaa, is a 63m2 residential building made of 272 pieces of cross-laminated timber (CLT). The inside of this 12-meters high building is five open interconnected rooms that integrate with the surrounding landscape.

UFO

The UFO

A livable design object with spectacular views. The UFO cabin is a movable single-story building that touches the ground lightly with minimal environmental impact. The beautiful, minimalist interior design features inbuilt wooden furniture, two decks and a roof window. The UFO is suitable for a wide range of uses; it can be a guest house, a home office, a spa room, or a vacation home. An eloquent house with skylights and integrated furniture; technically well equipped (electrically heated insulated glass, underfloor heating, LED lighting, furnished bathroom).

A new (more fair) way of owning and selling design

Architecture NFTs introduce design and art collectors a new kind of digital collectible, but also a new way of owning and selling design. The original digital files of a famous building are valuable as art and as a piece of design history, but they also have value in real-life. A local building company can use the manufacturing files to “print” the parts and build an instance of the original design. 

“An NFT holds the digital DNA of our designs”, says Tuuli Sotamaa.  “This way it has cultural, practical, and commercial value as the NFT includes a complete blueprint for transforming digital design objects into physical buildings. This is also a way for the non-realized design projects to have a life.”

Selling architectural designs as NFTs is radically more fair to the designers: every time a new transaction happens, the original creator gets a royalty.  This solves one of the major problems in architecture and design: the ability for the designer to benefit from long term value growth.

“It is common for designers to make royalty agreements with the manufacturers of their products, but this kind of system does not exist for architecture. Minting the original digital design and manufacturing files into a smart contract makes the intellectual property rights tangible and trackable. The blockchain technology guarantees that the original designer and the owner of the IP can follow the journey of their designs after they are sold the first time”, says Kivi Sotamaa, the lead designer of the Meteorite and UFO houses.

The 20m2 UFO cabin is made of Cross-Laminated-Timber and sleeps 2 persons.

NFT PURCHASE TERMS

These NFT Purchase Terms (Terms) apply to all non-fungible tokens (NFTs) created and offered for sale by Field Studies Ltd. and Ateljé Sotamaa Ltd. (collectively the Creators) on the OpenSea platform (Platform).

APPLICABILITY OF NFT PURCHASE TERMS

NFTs are non-fungible tokens, ownership of which are registered on a blockchain. Any NFT purchased or procured by you as a buyer (You or Buyer) on the Platform is subject to these Terms. By purchasing or procuring NFTs created by the Creators and offered for sale you agree to be bound by these Terms.

The use of NFTs is subject to the license outlined in these Terms and termination of these Terms for any reason shall not affect any obligations existing prior to termination. For the avoidance of doubt, use of the NFTs outside the rights granted by the Creators to the Buyer under these Terms shall be considered a breach of these Terms.

RIGHTS GRANTED BY NFT

The Kosmos Collection NFTs are unique non-fungible tokens that represent a digital file consisting of the original architectural designs and technical drawings that are produced for the purpose of building a physical instance of the Meteorite House or the UFO Cabin (separately Meteorite House NFT and UFO Cabin NFT and collectively Kosmos Collection NFTs).

Subject to Buyer’s compliance with these Terms, the purchase or procurement of the Kosmos Collection NFTs grants the Buyer a worldwide, personal, limited, non-exclusive license to use, display, exhibit or resell the original digital files.

The purchase or procurement of the Kosmos Collection NFTs grants the Buyer the right to build one (1) physical instance of the design anywhere in the world. The Buyer has the right to amend the technical drawings in the implementation phase of building the physical instance of the Meteorite House or the UFO Cabin to the extent required by local conditions, building codes and regulations or law. The Kosmos Collection NFT does not grant the Buyer the right to serially manufacture or resell physical instances of the designs.

The Buyer has the right to display the Kosmos Collection NFTs on a NFT marketplace in connection with the offer for resale of the NFT. The Buyer acknowledges that upon the resale of the Kosmos Collection NFTs, except for the right to build one physical instance granted under section 2.3 that will remain valid after any resale, the rights and licenses herein transfer to the new Buyer and the Buyer will have no further rights in or to the Kosmos Collection NFT or digital file associated with that Kosmos Collection NFTs. The former Buyer shall not use any of the designs associated with the Kosmos Collection NFTs from the time of the sale onwards. The Creators shall be entitled to royalty payment which shall be automatically deducted from secondary sales and remitted to the Creators of the Kosmos Collection NFTs.

INTELLECTUAL PROPERTY RIGHTS

“Intellectual Property Rights” shall mean copyrights and related rights, patents, utility models, design rights, trade secrets, know-how and any other form of registered or unregistered intellectual property rights. All ownership, title and interest in Intellectual Property Rights associated with the original designs shall remain exclusively vested with and be the sole and exclusive property of the Creators and/or its subcontractors/licensors or other third parties.

The purchase or procurement of the Kosmos Collection NFTs does not grant the Buyer any rights to the Intellectual Property Rights in the designs. The Buyer by virtue of owning the Kosmos Collection NFTs shall not obtain any legal ownership, right or title to the copyright or trademarks in any designs or trademarks associated with the Kosmos Collection NFTs. The Buyer shall not have the right to use the Kosmos trademark in commerce.

THE OBLIGATIONS OF CREATORS

Upon the payment of the full purchase price (Price) on the Platform, the purchased Kosmos Collection NFT shall be automatically transferred to the Buyer’s digital wallet (Digital Wallet) via smart contracts.

The Creators warrant that they have all rights and licenses to create (mint) and make the initial offer for sale of the Kosmos Collection NFTs on the Platform. The Creators warrant that the digital files associated with the Kosmos Collections NFTs do not infringe any rights of third parties.

BUYER WARRANTIES

Before you purchase any Kosmos Collection NFTs, you as a Buyer hereby represent and warrant that:

You are an eligible purchaser, with a minimum age of 18, and have read and understood all the terms of these Terms and fully understand all the risks herein and are willing to assume all the liabilities and losses.

You have sufficient understanding of the transaction and the concept and risks of NFTs and make an informed decision after performing your own due diligence. You further acknowledge that your decision to enter into any purchase or procurement of Kosmos Collection NFTs is at your sole discretion and risk.

You understand that all risk and title in any NFTs purchased transfers to the Buyer upon purchase of the NFTs and that the Buyer is responsible for ensuring any Digital Wallet that the NFTs are transferred to is accurately linked.

You acknowledge that NFTs may experience extreme price volatility, including being worthless in the future, and that the Buyers are solely responsible for all risks related to such price fluctuations in an NFT they purchase.

You acknowledge that the Creators are a separate legal entity from the Platform, and therefore have no responsibility or control over the operation of the Platform.

DISCLAIMERS

The Kosmos Collection NFTs are not intended for speculative use, are not sold as or represented to be a financial product of any kind and nothing published is in any way financial or investment advice to a Buyer or any other person.

If the Buyer decides to use the drawings to build the physical instance, the Buyer acknowledges that they are solely responsible for all the aspects of their own building project including but not limited to requisite building permits, the foundation, subcontractors and the budget. The Creators shall not be responsible for any aspects of the Buyer’s building project including but not limited to structural issues, the manufacturing and assembly of the physical instance and any possible amendments to the architectural designs and technical drawings.

Risk and title in any Kosmos Collection NFTs purchased or procured transfers to the Buyer upon the purchase or procurement of Kosmos Collection NFTs. The Buyer shall ensure that the Kosmos Collection NFTs can be transferred to the appropriate Digital Wallet. The Buyer shall solely be responsible for any permanent loss of access to the Kosmos Collection NFTs after any transfer.

PAYMENT

The Price for the sale of Kosmos Collection NFTs will be disclosed to a Buyer before they are charged. The price may include applicable taxes where required by law to be included in the final fee.

The Buyer shall be solely responsible for any applicable taxes arising from the purchase or procurement of Kosmos Collection NFTs.

Unless required by law, orders placed for Kosmos Collection NFTs are non-refundable and non-cancellable and require payment of the Price in full at the time of purchase or procurement. The Buyer is required to provide a Digital Wallet for the delivery of the Kosmos Collection NFTs at the time of sale. Where the Price has been paid in digital currency and a Buyer is entitled by law to a refund, the Buyer agrees that the refund shall be made in the same form of digital currency used in the initial transaction, or at the seller’s sole discretion in the Euro equivalent to the value of the digital currency on the date of purchase.

The Buyer shall be solely responsible for all risks related to any price fluctuations associated with purchased or procured Kosmos Collection NFTs.

The Buyer accepts and acknowledges that transfers on the Ethereum blockchain are irreversible and as a result, it is not possible for the seller or the Platform to issue refunds on the sale of Kosmos Collection NFTs.

GAS FEES

All transactions regarding the Kosmos Collection NFTs, including without limitation bidding, listing, offering, purchasing, confirming or reassignment, are facilitated by smart contracts existing on the Ethereum network. The Ethereum network requires the payment of a transaction fee (Gas Fee) for every transaction that occurs on the Ethereum network, and thus every transaction occurring on the Platform. The value of the Gas Fee changes, often unpredictably, and is entirely outside of the control of the Creators, a seller or the Platform. The Buyer acknowledges that under no circumstances will an agreement, offer, sale, bid, reassignment, or other transaction regarding the NFT be invalidated, revocable, retractable, or otherwise unenforceable on the basis that the Gas Fee for the given transaction was unknown, too high, or otherwise unacceptable to the Buyer. The Buyer also acknowledges that Gas Fees are non-refundable under all circumstances.

The Buyer is solely responsible for paying the Gas Fees related to any transactions regarding the purchased Kosmos Collection NFTs, excluding the costs related to the creation (minting) of the Kosmos Collection NFTs.

CONFIDENTIALITY

The Buyer shall not disclose to third parties any material or information received from the Creators or received from owning the Kosmos Collections NFTs and marked as confidential or which should be understood to be confidential and shall not use such material or information for any other purposes than those stated in these Terms.

This section shall survive the expiry or termination of these Terms for a period of 5 years after the expiry or termination of these Terms.

NO WARRANTY

To the maximum extent permitted by applicable law, Kosmos Collection NFTs are provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, and non-infringement, and fitness for a particular purpose, or accuracy or reliability, that any Kosmos Collection NFTs will meet specific requirements or will be uninterrupted, completely secure, free of software errors, defects and failures.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Creators are not liable to the Buyer for any indirect or consequential damages, including but not limited to loss of profits, loss of business, loss of data or interruption of business.

The Buyer shall hold the Creators harmless from and against any and all losses, damages, taxes, liabilities and expenses that may be incurred by a Buyer in connection with or arising from the purchase or procurement of any Kosmos Collection NFTs.

These limitations of liability shall not apply in cases of intentional misconduct or gross negligence.

TERM AND TERMINATION

These Terms shall enter into force at the time of sale of the purchased Kosmos Collection NFT and shall only remain in force for the Buyer while the Buyer controls the purchased Kosmos Collection NFT by being the holder of the Kosmos Collection NFT and the Digital Wallet in which the Kosmos Collection NFT is stored.

The Creators may terminate these Terms and any license provided herein with immediate effect by written notice if the Buyer materially breaches these Terms and (if such breach is curable) fails to cure such breach within 14 days of being notified in writing to do so (Termination for a Cause).

In case of Termination for a Cause by the Creators, all rights and licenses granted in Clause 2 of these Terms shall immediately cease. After the Termination for a Cause by the Creators, the Buyer shall be obligated without undue delay to assign the purchased Kosmos Collection NFTs back to the Creators, to the Ethereum address provided and as instructed in more detail by the Creators. The Buyer shall be responsible for all the costs, such as gas fees, incurred by the transfer of the Kosmos Collection NFTs back to the Creators in the event of a Termination for a Cause.

The provisions of these Terms which by their nature reasonably should survive the termination or expiration of these Terms shall survive any expiration or termination of these Terms.

PENALTIES

In the event of a breach of any of the provisions of Clause 2, the Buyer shall be liable to the Creators for an immediately due and payable penalty of EUR 10,000 without prejudice to any other rights provided for by law or under these Terms such as the right to specific performance, the right to an injunction or the right to claim damages in lieu of this penalty.

MISCELLANEOUS

If any provision of these Terms is declared by any judicial or other competent authority to be void, illegal or otherwise unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

The Creators shall be entitled to assign all or any of its rights or obligations hereunder in whole or part to an affiliate or business partner or successor or to a purchaser or acquirer of its business assets.

The Buyer shall not be entitled to assign any of its rights or obligations hereunder in whole or part, unless the assignment is made through the resale, trade or other reassignment of the purchased Kosmos Collection NFT. For clarity, these Terms shall also apply in relation to subsequent buyers or other transferees of the Kosmos Collection NFTs.

APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Finland without regard to its principles and rules on conflict of laws.

Any disputes arising from these Terms shall primarily be attempted to be settled by negotiations between the Parties. If the Parties cannot reach a consensus by way of negotiation, any dispute, controversy or claim arising out of or relating to these Terms shall be settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The number of arbitrators shall be one (1). The seat of arbitration shall be Helsinki, Finland. The language of the proceedings shall be English.

Nothing in this section or in these Terms shall be understood as limiting your rights arising from mandatory consumer protection regulations which cannot be waived by an agreement. For example, if you reside in the EU, you may seek to have the dispute assisted and settled with the consumer protection ombudsman.
